What You'll Be Working On-

  • Gather, receive and validate appropriate documentation relating to the franchisee/franchisee legal entity (customer). This entails timely review of back up information, including but not limited to, Legal Entity Documents (i.e. Articles of Incorporation/Organization, By Laws/Operating Agreements, FEIN#) and lease information to accurately prepare franchise documents. Must have an understanding of entity/trust structures (including multi-layered entities). Identify stakeholders, percentage of ownership, qualification, guarantees, antiterrorism, trademark infringements, and limited purpose
  • Understand, obtain approvals and effectuate proposed changes to legal entity structures (i.e. adding/releasing a partner, assigning to another entity etc.)
  • Determine restaurants eligibility for "incentive" offers and understand how to administer
  • Interpret complicated Business Proposals and document negotiated changes through an Amendment, Termination Agreement or Addendum to FA/SDA Agreement
  • Review and interpret Purchase and Sale agreement along with exhibits, provide summary of deal to internal business partners and drive the deal with the BDM to meet closing dates (assist at closings)
  • Timely and accurately create Dunkin' Donuts and/or Baskin Robbins franchise documents ensuring company policies and applicable Federal and State laws are adhered to (includes the Federal Trade Commission (FTC). Obtain the Franchise Disclosure Document (FDD) receipts (adherence to disclosure laws for each stakeholder, research of existing legal files, verification of various deal components, (incentives, internal approvals including Treasury and Legal, qualified candidates, proper ownership structure)
  • Complete templates in Oracle System, Word and Excel to initiate the set up/updating of customers/franchise entities, enter all critical data points to enable accurate contract drafting
  • Prepare invoices and collect applicable fees when Agreement is signed Complete document processing by ensuring delivery to the franchisee or company representative, receiving signed/returned documents, reviewing for accuracy and completeness, and ensuring enclosure of all funds due
  • Ensure Fee Rates are accurately and timely entered into our system to enable revenue recognition
  • Ensure efficient and timely maintenance of the Oracle Contracts system which is critical to the data integrity of Dunkin' Donuts and Baskin-Robbins contracts, terms, fees, and franchisees
  • Ability to work independently with a high degree of discretion and confidentiality.
  • Create and maintain deal records in Salesforce and distribute reports relating to assigned contracts
  • Communicate document updates to business partners via conference calls/e-mails/reports

What You'll Need-

  • 4+ year's prior administrative/office experience
  • Associates Degree in Business/Paralegal Certificate
  • Computer Proficiency (Microsoft Word, Excel (sorting/filtering spreadsheets), Internet
  • Prior experience with Oracle applications a plus
  • Experience in supporting several field executives
  • Prior experience with contracts/legal documents
  • Prior experience with leases/real estate
  • Highly organized self-starter with the ability to work independently and coordinate/follow-up with multiple priorities, while managing time effectively and meeting deadlines
  • Ability to work in a team environment
